1. Eligibility

The promotion is open to bona fide businesses and registered organisations domiciled in Australia & New Zealand. Entrants must be 18 years or older and authorised to act on behalf of the business they represent. Only one entry per business will be accepted. Duplicate or incomplete entries may be disqualified. Metrics Media Ltd (“Metrics Media”, “we”, “us”, “our”) reserves the absolute right to verify eligibility and to refuse, amend, or withdraw any entry at its sole discretion.

2. Prize Overview

The prize consists of the design and development of a WordPress website of up to ten (10) pages for each successful recipient. The total prize pool is valued at up to NZD $10,000 + GST across multiple winners. The prize is not transferable, exchangeable, or redeemable for cash or credit. Metrics Media reserves the right of refusal to proceed with any project that, in its reasonable opinion, conflicts with its ethical, commercial, or technical standards.

3. Acceptance of Prize

Winners must formally accept the winning prize in writing (email confirmation or signed agreement) within ten (10) business days of notification. Failure to confirm acceptance within this timeframe may result in forfeiture and selection of an alternate winner. All contractual obligations, including hosting fees and project commencement, take effect from the date the prize is formally accepted by the winner.

4. Pre-Requisites

Each winner must provide a brand-guidelines document outlining colours, fonts, and visual direction; and a high-resolution logo file (vector / transparent PNG). Failure to supply adequate brand assets within the specified timeframe may delay or void eligibility for the prize.

5. Inclusions

Each awarded website shall include customisation of a Metrics Media-approved WordPress template in line with the client’s brand guidelines; up to 10 pages of structure and layout configuration; four (4) hours of content upload assistance (client to supply editable content); one (1) hour of CMS familiarisation training via Zoom or in person (Auckland region only); and responsive layout for desktop, tablet, and mobile devices.

6. Hosting, Term & Fees

A mandatory hosting and platform fee of NZD $100 + GST per month applies. The hosting term commences from the date the winner formally accepts the prize. The website must remain hosted exclusively with Metrics Media for a minimum period of two (2) years from that acceptance date. Early removal or migration of the website before completion of this term will incur a release and migration fee of NZD $4,000 + GST. Maintenance, feature development, and updates beyond standard hosting are excluded and may be quoted separately. Winners will not receive administrator-level access to the website or hosting environment. Editor-level access for content updates may be provided upon request.

7. Exclusions

The following are expressly excluded unless separately contracted: written copy, imagery, video, or graphic assets (client to supply); creation or redesign of logos, branding, or brand-identity materials; any branding workshop, naming, colour-scheme development, or strategy exercise; third-party or premium plugins, licences, extensions, or themes (client to purchase directly); Google Analytics 4 (GA4) and Google Tag Manager (GTM) setup or configuration; search-engine optimisation (SEO) of any kind; integration with CRMs, e-commerce, booking, or payment systems; digital marketing, social-media, or advertising services; additional CMS training, design rounds, or revisions beyond those specified.

8. Project Timeline & Delivery

Projects commence once the winner has formally accepted the prize and supplied all required brand assets, content, and imagery within 30days of acceptance of winning. Indicative delivery timeframe: 6–8 weeks from written approval of the sitemap and template selection, subject to timely feedback. Metrics Media shall not be liable for delays caused by late content supply, third-party dependencies, or events beyond reasonable control.

9. Ownership & Intellectual Property

Upon completion and while hosting fees remain current, the client shall own the compiled website content and front-end customisations. All proprietary code, frameworks, server configurations, and platform systems remain the exclusive intellectual property of Metrics Media. Metrics Media grants the client a non-exclusive, non-transferable, revocable licence to use the website on its hosting platform for the agreed term. The client warrants that all supplied materials (text, images, logos, trademarks, videos, or otherwise) are owned or licensed for use, and agrees to indemnify and hold harmless Metrics Media against any claim of copyright, trademark, or moral-rights infringement. Metrics Media shall not be liable for any intellectual-property breach arising from client-supplied materials. Metrics Media retains the right to feature the completed website in its marketing and portfolio materials.

10. Limitation of Liability

To the fullest extent permitted by law, Metrics Media, its directors, employees, and agents accept no liability for: loss or corruption of data, profits, or goodwill; business interruption or consequential damages; indirect, incidental, or punitive losses; or service outages or downtime beyond reasonable control. Metrics Media’s total aggregate liability, whether in contract, tort (including negligence) or otherwise, shall not exceed the total fees paid by the client in the preceding six-month period. Nothing in these Terms limits rights under the Consumer Guarantees Act 1993 (NZ) that cannot lawfully be excluded.

11. Indemnity

The client agrees to indemnify, defend, and hold harmless Metrics Media, its officers, employees, and contractors from all claims, damages, losses, costs, and legal expenses arising from or related to: breach of these Terms; content or materials supplied by the client; infringement of third-party rights; or unauthorised access, misuse, or modification of the website.

12. Termination

Metrics Media may suspend or terminate the project or hosting if the client fails to pay hosting fees when due; misuses or attempts unauthorised access to the platform; or breaches any material term of this Agreement. Termination does not relieve the client of obligations accrued up to the date of termination, including outstanding fees or applicable migration charges.

13. General Conditions

Winners must accept their prize and commence their project within 90 days of notification or the prize may be forfeited. Metrics Media reserves the right to modify, suspend, or cancel the promotion at any time without notice. These Terms constitute the entire agreement and supersede all prior communications. If any provision is deemed invalid, the remainder shall remain enforceable. These Terms are governed by and construed in accordance with the laws of New Zealand, and both parties submit to the exclusive jurisdiction of the New Zealand courts.

14. Acknowledgement

By entering the giveaway and formally accepting the winning prize, the participant acknowledges that they have read, understood, and agree to be bound by these Terms & Conditions in full.
